Terms of Service
These Terms govern your use of the Otter platform. By creating an account or using the service, you agree to these terms.
1. The service
Otter provides software for tracking, verifying, and managing vendor relationships, contracts, and compliance documentation. Functionality varies by subscription tier.
2. Accounts & eligibility
You must be authorized to act on behalf of the organization you represent. You are responsible for keeping credentials secure and for all activity under your account.
3. Subscription & billing
- Dealer plans are billed per rooftop, per month (or annual discount).
- Vendor plans include an annual platform fee plus per-dealer monthly fees.
- Fees are prorated when subscription quantity changes.
- Failed payments enter a grace period before service degrades.
4. Customer data
You retain ownership of all data you upload. We process it solely to provide the service. See our Privacy Policy for details.
5. Acceptable use
Don't reverse engineer the platform, attempt to bypass security controls, or use the service to transmit unlawful or infringing content.
6. AI features
AI-assisted contract and document analysis is provided for informational purposes only and is not legal advice. See our AI & Compliance Disclaimer.
7. Termination
You may cancel any time. We may suspend accounts for non-payment or material breach. Upon termination, you can export your data for 30 days.
8. Disclaimers & liability
The service is provided "as is" without warranty. To the maximum extent permitted by law, our aggregate liability is limited to fees paid in the preceding 12 months.
9. Governing law
These Terms are governed by the laws of the state of incorporation of Otter, Inc., without regard to conflict-of-laws principles.
